TERMS OF SERVICE

1. Introduction & Acceptance

These Terms of Service (the “Terms”) constitute a legally binding agreement between you (the “User,” “you,” or “your”) and Online Publishing Ventures LLC, a Delaware limited liability company (“Company,” “Viddyoze,” “we,” “us,” or “our”). These Terms govern your access to and use of the Viddyoze website, web applications, template libraries, software, and related services (collectively, the “Services” or the “Platform”).

PLEASE READ THESE TERMS CAREFULLY. BY REGISTERING FOR AN ACCOUNT, PURCHASING A SUBSCRIPTION, ACCESSING THE WEBSITE, OR USING ANY PART OF THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE ALL USE OF THE SERVICES.

The Services provided by Viddyoze are designed as a motion graphics and video creation platform that enables users to customize, assemble, and generate video content using templates, automated workflows, and software-assisted features.

2. Company & Platform Ownership

2.1 Transfer of Ownership

Users are hereby notified that the Viddyoze product, brand, and Platform were previously owned and operated by Viddyoze Limited, a company registered in the United Kingdom. The product and all associated intellectual property, user accounts, and service obligations have been legally sold and transferred to Online Publishing Ventures LLC, a United States entity. These Terms supersede and replace any prior agreements or understandings with Viddyoze Limited. Continued use of the Services constitutes acceptance of Online Publishing Ventures LLC as the sole service provider.

2.2 Dual Platform Structure

The Services currently operate across two technical environments: Current Platform: The actively developed platform hosting all new features, subscriptions, and migrated users.

Legacy Platform: An older platform maintained solely for continuity of service for specific legacy subscriptions and operating in maintenance mode.

3. Definitions

“Account” means the registered user profile created to access the Services. “Current Platform” means the actively developed Viddyoze application. “Legacy Platform” means the older version maintained for limited legacy use. “Output” means the final rendered video generated through the Services. “Templates” means the pre-designed motion graphics and assets provided by Viddyoze. “User Content” means content uploaded or input by the User. “Viddybot” means Viddyoze’s AI-assisted automation features.

4. Eligibility & Account Requirements

You must be at least eighteen (18) years old or the age of majority in your jurisdiction to use the Services. Each Account is intended for use by a single user or business entity. Sharing credentials is prohibited and constitutes a material breach.

5. Service Plans & Legacy Products

Access to features, templates, and usage limits depends on the Service Plan purchased. Service Plans include Active Plans and Legacy Products. The Company reserves the right to modify or discontinue plans in accordance with these Terms and applicable law.

5.1 Current Platform Plans

A. Pro Subscription (Actively Sold)

The Pro Subscription is the primary active offering and is available on a monthly or annual recurring basis.

Pro Subscribers receive access to enhanced features, templates, tools, and usage limits as described on the Viddyoze website, applicable pricing pages, or in-product disclosures at the time of use. Feature availability, limits, and entitlements may vary over time.

Access may include AI-assisted features, including Viddybot, which uses prompts, automation, and intelligent workflows to assist in assembling, customizing, and generating video content from templates and user-provided inputs.

The Company reserves the right to modify Pro features or limits, provided such changes do not materially reduce paid access during an active billing period.

B. Basic License (Discontinued)

The Basic License, including “Lifetime Basic,” is discontinued and no longer available for purchase. Valid license holders retain access to designated Basic Templates subject to Section 7.

6. License Grant & Usage Rights

Viddyoze grants Users a limited, non-exclusive, non-transferable, revocable license to use the Services to create Output, subject to these Terms. Users retain full commercial rights to Output but may not resell or distribute Templates or grant third parties access to their Account.

7. “Lifetime” License Definition

“Lifetime” refers to the lifetime of the specific product or service as offered and supported by the Company, not the lifetime of the purchaser. The Company may discontinue any Service or Platform upon reasonable notice.

8. Acceptable Use Policy

Users may not use the Services for unlawful, harmful, or infringing purposes, including reverse engineering, credential sharing, or automated abuse.

9. AI-Powered Features

AI-assisted features are provided “as is” and may produce unpredictable results. Users are solely responsible for reviewing and validating Output generated with AI assistance.

10. Fees, Billing & Renewals

10.1 Subscription Renewals

Subscriptions renew automatically unless cancelled prior to the applicable renewal deadline.

10.2 Refund Policy

Except as expressly stated below, all fees and charges are non-refundable.

New users who purchase a Pro subscription directly, without first enrolling in a free trial, are eligible for a one-time thirty (30) day money-back guarantee for the initial billing period only.

Users who enroll through a free trial that converts into a paid subscription are not eligible for the thirty (30) day money-back guarantee.

No refunds or credits are provided for subsequent billing periods, partial use, downgrades, or cancellations after the initial eligible period, except where required by applicable law.

11. Cancellation & Downgrades

Cancellation form must be submitted 3 work days prior to next rebill in order to cancel monthly subscription, and 30 days earlier in order to cancel annual subscription

Upon cancellation, access continues through the end of the current billing period.

Certain discontinued legacy products may not be reinstated once cancelled. This restriction does not apply to active Legacy Platform subscriptions, including Agency Accounts, Template Club Lite, and Bitesize, which may be renewed in accordance with their terms.

12. Intellectual Property

The Services, including all software, templates, trademarks, logos, designs, text, graphics, and underlying technology, are owned by or licensed to Viddyoze and are protected by copyright, trademark, and other intellectual property laws.

13. User Content & Data

Users retain ownership of User Content. By uploading User Content, Users grant Viddyoze a worldwide, non-exclusive, royalty-free license to use such content solely to provide the Services.

14. Third-Party Services

The Services may integrate with or link to third-party services. Viddyoze is not responsible for the content, privacy policies, or practices of such third parties.

15. Disclaimers & Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIDDYOZE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF AMOUNTS PAID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR ONE HUNDRED DOLLARS (US $100).

17. Indemnification

Users agree to defend, indemnify, and hold harmless Viddyoze from and against claims, damages, losses, liabilities, and expenses arising out of use of the Services or violation of these Terms.

18. Termination

Viddyoze may suspend or terminate access to the Services at any time for violation of these Terms. Upon termination, all licenses granted herein shall immediately cease.

19. Modifications to Terms

Viddyoze reserves the right to modify these Terms at any time. Material changes will be provided with reasonable advance notice. Continued use constitutes acceptance.

20. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.

21. General Provisions

These Terms constitute the entire agreement between the parties and supersede all prior agreements. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
